PLEASE READ CAREFULLY. Section 17 contains a binding arbitration agreement and a class action waiver. They affect your legal rights. Unless you opt out within 30 days as described in Section 17.9, you and Pacinos agree to resolve disputes through individual arbitration, and you both give up the right to a jury trial and the right to participate in a class action.
These Terms of Service ("Terms") are a legal agreement between you and Pacinos Signature, Inc., a Florida corporation ("Pacinos," "we," "us," or "our"), governing your access to and use of www.pacinosproducts.com and any related pages or services (the "Site") and your purchase of our products.
By accessing the Site, creating an account, placing an order, or subscribing to our email or text-message programs, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old, or the age of majority in your state of residence, to purchase from the Site or create an account. By using the Site you represent that you meet this requirement and that all information you provide is accurate and current.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@pacinossignatureline.com if you suspect unauthorized use. We may suspend or terminate an account at our discretion, including for suspected fraud or violation of these Terms.
3. Orders, Pricing, and Availability
Orders are offers. Your order is an offer to buy. We accept your offer when we ship the product. We may refuse, limit, or cancel any order — including orders that appear to be placed by dealers, resellers, or distributors, orders that exceed quantity limits, and orders flagged for suspected fraud.
Pricing and errors. Prices, promotions, and availability may change without notice. Despite our efforts, products may occasionally be listed with an incorrect price or description. If a product's correct price is higher than the listed price, we may cancel the order or contact you before shipping. We reserve the right to correct errors at any time, including after an order is submitted.
Product presentation. We make every effort to display product colors and images accurately, but we cannot guarantee that your device displays colors accurately. Product packaging may vary from images shown.
Promotions and discount codes. Promotional offers are valid only for the stated period and while supplies last, apply only to eligible products, cannot be combined unless expressly stated, have no cash value, and may not be applied to prior purchases. We may modify or end a promotion at any time.
4. Payment
You authorize us and our payment providers to charge your selected payment method for the total order amount, including taxes and shipping. Payment card information is processed by our payment providers; we do not receive or store full card numbers. If a payment is declined or reversed, we may cancel the order and may suspend your account.
5. Shipping, Delivery, and Risk of Loss
You are responsible for providing accurate and complete shipping information. Pacinos is not responsible for orders delayed, misdelivered, returned, or lost because the address you provided was incorrect, incomplete, invalid, vacant, or undeliverable.
If an order is returned to us because of an incorrect or vacant address, refusal of delivery, or any other customer-provided shipping error, you are responsible for the additional shipping charges required to reship it. Original shipping charges are non-refundable.
Risk of loss. Title and risk of loss pass to you when the carrier accepts the shipment. Pacinos is not liable for delay, loss, theft, or damage caused by a carrier, including USPS, UPS, and FedEx. If a package is lost in transit, you are responsible for filing a claim with the carrier; we will reasonably assist by providing shipment information.
International orders. International deliveries typically arrive 10 to 15 days after reaching the destination country's postal administration. For countries without door-to-door tracking, we cannot be responsible for packages lost or mishandled by the local post office. You are the importer of record and are responsible for complying with the destination country's laws and for paying any import taxes, customs duties, and fees, which we cannot predict or control. Customs procedures may cause delays beyond our delivery estimates.
6. Returns and Refunds
All sales are final. We do not offer exchanges or refunds except as stated here or as required by law. If a product is defective from the manufacturer, contact us at support@pacinossignatureline.com within 30 days of delivery with your order number and photographs of the defect. If we approve the claim, we will send a replacement. This does not affect any rights you have under applicable consumer-protection law that cannot be waived.
7. Subscriptions and Automatic Renewal
If we offer a subscription or auto-replenishment program, the following applies and will also be disclosed to you before you enroll:
- We will clearly present the recurring charge amount, the billing frequency, the renewal term, and the cancellation method before you provide payment information, and we will obtain your affirmative consent to those terms.
- After you enroll, we will send you a confirmation that repeats those terms and explains how to cancel.
- You may cancel at any time, online, without speaking to a representative — through your account page or the cancellation link in your subscription emails. Cancellation takes effect before the next billing date if submitted at least 24 hours in advance.
- We will provide advance notice of any price change and of renewal terms where required by law.
Subscription programs are only available where we offer them, and specific plan terms are presented at the point of enrollment.
8. Product Use, Claims, and Safety
Our products are cosmetics for external use only. They are not drugs, and they are not intended to diagnose, treat, cure, or prevent any disease or condition, including hair loss.
Follow the directions and warnings on each product's packaging. Keep out of reach of children. Avoid contact with eyes; if contact occurs, rinse thoroughly with water. If you have sensitive skin or known allergies, test a small amount on a small area before full use. Discontinue use and consult a physician if irritation, redness, or a rash occurs. Ingredient information is on the product packaging and product pages; if you have questions about a specific ingredient, contact us before use.
Statements about styling performance describe cosmetic results and can vary based on hair type, hair length, product amount, application technique, and environment. Individual results vary.
9. Reviews, Testimonials, and User Submissions
We publish genuine customer reviews. We do not create, buy, or sell fake reviews, and we do not suppress or delete reviews simply because they are negative. We may remove content that is unlawful, obscene, threatening, harassing, defamatory, infringing, off-topic, includes personal information, or violates these Terms.
If you submit a review, photograph, video, comment, idea, or other content ("Submission"), you grant Pacinos a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that Submission in any media, including in advertising, without compensation or attribution. You represent that you own or control all rights to your Submission, that it is accurate and reflects your honest experience, and that it does not violate anyone else's rights.
If you received a free product, a discount, payment, or any other benefit in connection with a Submission, you must disclose that relationship clearly and conspicuously in the Submission itself, as required by the Federal Trade Commission's Endorsement Guides.
We have no obligation to keep any Submission confidential, to pay for it, or to respond to it.
10. Intellectual Property
The Site and all of its content — including text, graphics, logos, product images, video, page design, and software — are owned by Pacinos or our licensors and are protected by copyright, trademark, trade dress, and other intellectual-property laws. PACINOS, PACINOS SIGNATURE LINE, STLO, and our associated logos and product names are trademarks of Pacinos Signature, Inc., registered in the United States and in other countries.
You may view and use the Site for your personal, non-commercial purposes. You may not copy, reproduce, republish, sell, resell, scrape, frame, or create derivative works from any part of the Site or its content without our prior written permission. You may not use our trademarks without our prior written permission, including in advertising, domain names, social media handles, or product listings.
Unauthorized resale of our products, or resale of our products with altered packaging or altered product codes, is prohibited.
11. Prohibited Conduct
You agree not to: use the Site for any unlawful purpose or in violation of any law; infringe our or anyone else's intellectual property rights; upload viruses or malicious code; interfere with or circumvent the Site's security features; use bots, scrapers, spiders, or other automated means to access the Site or collect data from it; harvest or collect other users' information; impersonate any person or misrepresent your affiliation; submit false or misleading information; harass, abuse, threaten, defame, or discriminate against anyone; or attempt to gain unauthorized access to any part of the Site or any account.
12. Third-Party Sites, Retailers, and Tools
The Site links to third-party websites, including retailers that carry our products such as Target, Walmart, CVS, and Amazon, and to third-party tools and applications. We do not control those sites or tools, we do not endorse their content, and we are not responsible for them. Purchases you make on a retailer's website are transactions between you and that retailer, governed by that retailer's terms and policies — not by these Terms. Any dispute regarding a purchase from a retailer must be directed to that retailer. Third-party tools are provided "as is" without warranty from us.
13. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. Nothing in these Terms limits any non-waivable warranty or right you have under applicable law.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PACINOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE PRODUCTS GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of these limitations may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or personal injury caused by our products where such limitation is prohibited by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Pacinos and its officers, directors, employees, agents, suppliers, and licensors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of any law or the rights of a third party, your Submissions, or your misuse of the Site or the products.
16. Time Limit for Claims
To the fullest extent permitted by law, any claim arising out of or relating to the Site, the products, or these Terms must be filed within one (1) year after the claim arose. Otherwise the claim is permanently barred.
17. Dispute Resolution — Binding Individual Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY DECIDE YOUR CLAIMS.
17.1 Informal resolution first
Before starting an arbitration or any other proceeding, you and Pacinos agree to try to resolve the dispute informally for at least sixty (60) days. To begin, send a written Notice of Dispute to Pacinos Signature, Inc., Attn: Legal — Notice of Dispute, 516 Northwest 77th Street, Boca Raton, FL 33487, with a copy to support@pacinossignatureline.com. The Notice must include your name, the email address and shipping address associated with your order, a description of the dispute, and the relief you are seeking. We will send our Notice of Dispute to the email address associated with your account. Either party may request a telephone settlement conference, and both parties will participate in good faith. This informal-resolution requirement is an essential precondition to starting arbitration, and the 60-day period tolls any applicable limitations period.
17.2 Agreement to arbitrate
If the dispute is not resolved within 60 days, you and Pacinos agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Site, our products, our advertising or marketing, our data or privacy practices, or our relationship with you — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before, during, or after the termination of these Terms — will be resolved exclusively by final and binding individual arbitration, and not in a court of law.
This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and evidences a transaction involving interstate commerce.
17.3 Exceptions
This Section does not apply to: (a) claims that may be brought in a small claims court, so long as the claim remains an individual claim in that court; (b) claims to enforce or protect intellectual-property rights, for which either party may seek injunctive relief in court; and (c) any claim that applicable law provides may not be arbitrated. Nothing in this Section prevents you from reporting a concern to a government agency.
17.4 Arbitration procedure
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The rules are available at www.adr.org or by calling 1-800-778-7879. If the AAA is unavailable or unwilling to administer the arbitration, the parties will agree on a substitute administrator, or a court may appoint one.
The arbitration will be conducted by a single arbitrator. Unless you and Pacinos agree otherwise, any in-person hearing will take place in the county where you reside, or by telephone or videoconference. Claims under $25,000 may be decided on written submissions unless the arbitrator determines a hearing is necessary. The arbitrator will apply the substantive law of the State of Florida, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitrator may award any relief that a court could award to that individual claimant under applicable law, including statutory damages and attorneys' fees where a statute provides for them, but may not award relief to or against anyone who is not a party to the arbitration. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
17.5 Arbitration fees
Pacinos will pay all AAA filing, administrative, and arbitrator fees for any arbitration you initiate in accordance with the AAA Consumer Arbitration Rules, except that if the arbitrator determines your claim was filed for an improper purpose or is frivolous under the standard of Federal Rule of Civil Procedure 11(b), the allocation of fees will be governed by the AAA rules. Each party is otherwise responsible for its own attorneys' fees, unless a statute or the arbitrator's award provides otherwise.
17.6 Class action waiver
YOU AND PACINOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate or join the claims of more than one person and may not preside over any form of class or representative proceeding. If a court decides that applicable law prevents enforcement of any part of this paragraph as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court, and all other claims remain subject to arbitration.
This class action waiver is an essential part of this arbitration agreement. If the class action waiver in this Section 17.6 is found to be unenforceable as to all claims, then the entire agreement to arbitrate in Section 17.2 is void as to those claims.
17.7 Jury trial waiver
IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PACINOS EACH KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
17.8 Coordinated and mass filings
If 25 or more similar arbitration demands are filed against Pacinos by or with the assistance of the same law firm or coordinated group of counsel, the parties agree the demands will be administered in sequential batches of no more than 50 demands at a time. Counsel for the claimants and counsel for Pacinos will each select 25 demands per batch, a single arbitrator will preside over each batch, and the parties will pay the associated fees for that batch only. All applicable limitations periods are tolled for demands not yet assigned to a batch. This provision is intended to increase efficiency and reduce cost; it does not limit any individual's right to pursue their claim.
17.9 Your right to opt out — 30 days
You may opt out of this Section 17 (Dispute Resolution). To opt out, send written notice within thirty (30) days of the date you first accept these Terms — meaning the date of your first purchase, account creation, or other acceptance after the Effective Date above — to: Pacinos Signature, Inc., Attn: Arbitration Opt-Out, 516 Northwest 77th Street, Boca Raton, FL 33487, or by email to support@pacinossignatureline.com with the subject line "Arbitration Opt-Out." Your notice must include your full name, the email address associated with your account or order, and a clear statement that you want to opt out of the arbitration agreement.
Opting out affects only Section 17. It will not affect any other part of these Terms, and it will not affect your relationship with us in any other way. If you opt out, disputes will be resolved in the courts identified in Section 18.
17.10 Survival
This Section 17 survives termination of these Terms and the end of your relationship with Pacinos.
18. Governing Law and Venue
These Terms and any dispute arising out of them are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 17. For any dispute not subject to arbitration, you and Pacinos consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida, and waive any objection to that venue. Nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of the state where you reside.
19. SMS and Mobile Messaging Program
By opting in, you agree to receive recurring automated marketing text messages (including cart reminders) at the number provided. Consent is not a condition of purchase. Message and data rates may apply; message frequency varies. Reply STOP to cancel and HELP for help, or email support@pacinossignatureline.com. Opting out by replying STOP to any message from the program is the only reliable opt-out method; requests made in other ways (for example, verbally, or by texting variations of the keywords) may not be processed.
You must be at least 18 to enroll. The program is offered "as is"; delivery depends on your carrier and is outside our control, and carriers are not liable for delayed or undelivered messages. Do not send unlawful, obscene, harassing, infringing, or health-related protected information through the program.
Disputes relating to the messaging program — including disputes involving our messaging service providers acting on our behalf — are subject to Section 17 (Dispute Resolution) of these Terms, including the class action waiver and your right to opt out.
Florida residents. We endeavor to comply with the Florida Telemarketing Act and the Florida Do Not Call Act as applicable. You agree that messages we send in direct response to your messages or requests — including responses to keywords, opt-in confirmations, help and stop confirmations, and shipping notifications — are not telephonic sales calls or commercial telephone solicitation calls under Chapter 501, Florida Statutes, to the extent that law applies.
20. General
Changes. We may update these Terms. We will post the updated version with a new "Last Updated" date. For material changes, we will provide reasonable advance notice — such as a notice on the Site or an email to account holders — before they take effect. Material changes to Section 17 will not apply retroactively to a dispute of which we had actual notice before the change. Your continued use of the Site after the effective date of updated Terms constitutes acceptance.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. Section 17.6 has its own severability rule stated within it.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, supply-chain disruption, carrier failures, and network or utility outages.
Entire agreement. These Terms, together with the Privacy Policy and any policies posted on the Site, are the entire agreement between you and Pacinos regarding the Site and supersede all prior agreements and understandings, including prior versions of these Terms.
Notices. We may send notices to the email address associated with your account or order. You may send notices to support@pacinossignatureline.com or to the mailing address below.
